Online gaming solutions provider Aspire Global has agreed a deal to acquire GMS Entertainment Limited, the parent company of the B2B supplier Pariplay, for a fee of €13.1m (£11.8m/$14.9m).

Both parties expect the deal to go through in the third quarter of this year, with Aspire Global saying that while it will have a positive effect on its EBITDA from 2020, it is unlikely to impact its 2019 results.

Aspire has said that the acquisition will strengthen its B2B business by creating synergies, broadening the game portfolio and providing a channel to distribute and sell propriety games outside of its network, in line with its M&A strategy.

B2B software provider Pariplay operates its own content aggregation platforms and produces casino content within its own game studios. In addition, Pariplay is approved to offer its services in New Jersey and Aspire noted this represents a potential growth opportunity, allowing US operators to access its own gaming content.

Pariplay also holds igaming licences in the UK, Gibraltar, Curacao, Malta and Romania, while its games are certified for most regulated markets in Europe.

“We are very excited about the acquisition of Pariplay which is in line with our M&A strategy focusing on B2B-growth and external game sales,” Aspire’s chief executive, Tsachi Maimon, said.

“The integration of Pariplay grants us control of yet another crucial part of the igaming value chain – cutting costs, broadening the game portfolio and providing a channel to sell propriety games outside Aspire Global network.”

Gili Lisani, chief executive and founder of Pariplay, added: “Pariplay has come a long way since the founding in 2011 and I am very proud of the whole team for their intense efforts and strong commitment over the years.

“I feel confident about sending the company off for the next phase of the growth-journey and I believe that the match with Aspire Global is great, allowing both operations to reach whole new levels.”

Confirmation of the agreement comes after Aspire last month reported an increase in revenue for the first quarter of the year, primarily due to improved services for customer conversion and retention.

Revenue for the three months through to March 31, 2019, amounted to €33.2m, up from €18.4m in the corresponding period last year.
